Terms of Membership

These Terms of Membership (the “Agreement”) govern membership in the Oklahoma Approved directory, operated by Brockett Industries LLC, an Oklahoma limited liability company doing business as Oklahoma Approved (“Oklahoma Approved”). The business purchasing a membership is referred to as “Member.”
1. Acceptance and Effective Date
No signature is required. Member accepts this Agreement by checking the acceptance box presented at checkout and completing payment. The Agreement takes effect on the date Member’s first payment is processed and continues until cancelled under Section 5.
Where a membership is purchased in person through a representative of Oklahoma Approved, Member completes the same checkout and accepts these Terms in the same way. A representative’s statements do not modify this Agreement.
Oklahoma Approved will retain a record of Member’s acceptance, including the date, and will provide a copy on request.
2. Services
Oklahoma Approved will publish a directory listing for Member on oklahomaapproved.com showing Member’s business name, town, category, contact information, hours, description, and photograph, based on information Member provides.
Membership also includes a window decal, a website badge Member may display on its own site, and one written blog post about Member’s business, published on oklahomaapproved.com at no additional charge. Additional posts may be purchased at the then-current rate.
Oklahoma Approved will use commercially reasonable efforts to publish a listing within forty-eight (48) hours of receiving complete information from Member.
3. Equal Placement
Listings are displayed without ranking by payment amount. No member may purchase a higher position in search results or category listings.
The sole exception is the Community Sponsor placement, limited to one business per town, which is conspicuously labeled as sponsored wherever it appears. Member acknowledges this placement exists and is available separately.
4. Fees, Term, and Renewal
Membership is offered on a monthly or annual basis at the rate presented at checkout and is billed automatically through Stripe. The Agreement continues until cancelled.
Founding rate. Members who join during the founding period at the founding rate will retain that rate for so long as the membership remains active and uninterrupted. The founding rate will not increase at renewal. If a membership lapses, is cancelled, or payment fails and is not cured, any subsequent membership will be at the rate then in effect. The founding rate is not transferable.
Oklahoma Approved may change the rates offered to new members at any time.
5. Cancellation and Refunds
Member may cancel at any time. Cancellation takes effect at the end of the then-current billing period. Fees already paid are not refunded for partial periods.
Upon cancellation, Member’s listing will be removed and Member will discontinue use of the Oklahoma Approved name, badge, and decal.
6. Member Content and License
Member represents that it owns or has permission to use all names, logos, photographs, and text it submits, and that the information provided is accurate and not misleading.
Member grants Oklahoma Approved a non-exclusive, royalty-free license to display that material on oklahomaapproved.com and in related promotional materials, including social media, for the duration of the membership and for a reasonable period afterward in archived or historical materials.
Member is responsible for keeping its listing information current and will notify Oklahoma Approved of changes.
7. Use of the Oklahoma Approved Marks
For the duration of an active membership, Member may display the Oklahoma Approved decal and website badge in connection with its business. This is a limited, revocable, non-transferable license and conveys no ownership interest in the marks.
Member will not modify the marks, use them in a way that suggests endorsement of products or services beyond the listing, or continue using them after membership ends.
8. No Guarantee of Results
Oklahoma Approved makes no representation or warranty regarding search engine rankings, website traffic, inquiries, leads, or revenue resulting from a listing. The service is the listing itself.
9. Suspension and Termination
Oklahoma Approved may suspend or terminate a membership, with a pro-rata refund of prepaid unused fees, if Member provides false information, loses a license required to operate, engages in conduct that would reasonably damage the reputation of the directory, or breaches this Agreement and does not cure within ten (10) days of written notice.
10. Limitation of Liability
To the maximum extent permitted by Oklahoma law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits. Oklahoma Approved’s total aggregate liability arising out of this Agreement will not exceed the total fees paid by Member in the twelve (12) months preceding the claim.
11. Taxes
Fees are stated exclusive of any applicable sales or use tax. Member is responsible for any such tax lawfully imposed. Any physical item provided in connection with a membership, a Community Sponsorship, or a Community Supporter purchase, including the door sticker and the window decal, is provided at no charge and is itemized at $0.00 on the applicable invoice or order form.
12. General
This Agreement is governed by the laws of the State of Oklahoma, without regard to conflict of laws principles. Venue for any dispute lies in Oklahoma County, Oklahoma.
Oklahoma Approved may update these terms prospectively on notice to Member; continued membership after the effective date constitutes acceptance. Rate-lock commitments under Section 4 survive any such update.
Member may not assign this Agreement without written consent. This Agreement is the entire agreement between the parties regarding membership and supersedes prior discussions. If any provision is held unenforceable, the remainder continues in effect.
No employee, contractor, or sales representative of Oklahoma Approved has authority to modify these terms, discount published rates, or make commitments not stated in this Agreement.
13. Community Supporters
A Community Supporter membership is available to individuals and is separate from business membership. It does not create a business listing, does not appear in the directory, and confers no placement of any kind.
Tiers and what each includes. Supporter ($25/year): name on the supporters wall. Neighbor ($100/year): name on the wall, a car window decal, and a digital badge. Founding Supporter ($250/year): the foregoing, plus being named in a monthly supporter feature on Oklahoma Approved social media, plus permanent designation as a Founding Supporter.
Public listing of names. Supporter names are published on a public page of the Site. At checkout each supporter is asked whether to be listed by name or as “Anonymous,” and that election is honored. Only the supporter’s first and last name is published — no business name, address, contact details, or amount given. A supporter may request removal or a change of listing at any time by contacting hello@oklahomaapproved.com, and the change will be made within a reasonable period.
Term, renewal, and the yearly wall. Supporter memberships are annual and renew automatically on the anniversary of purchase until cancelled. Memberships purchased on or after September 1 are credited to the following calendar year. The supporters wall displays supporters for the year shown; prior years remain accessible in an archive.
Founding Supporter designation. Founding Supporter status is permanent. It is retained even if a supporter does not renew in a later year. The yearly wall, however, displays only supporters current for the year shown.
Cancellation and refunds. A supporter may cancel at any time and will not be charged again. Cancellation does not entitle the supporter to a refund of amounts already paid for the current term, except that any supporter may request a full refund within fourteen (14) days of the initial purchase.
Physical items. The car window decal is provided at no charge. Decals are mailed during the first week of each calendar month to supporters at the Neighbor tier and above who joined in the preceding period, to the address provided at checkout. Oklahoma Approved is not responsible for items lost in the mail where an incorrect or incomplete address was supplied.
Social feature. Founding Supporters are named in a monthly group feature post. Supporters may optionally provide a social media handle at checkout to be tagged; where no handle is provided the supporter is named without a tag. Nothing in this section obligates Oklahoma Approved to publish any particular post on any particular date.
Use of funds. A Community Supporter membership is a purchase of the benefits described above. It is not a donation and is not tax deductible. Oklahoma Approved directs a portion of its revenue to community giving at its own discretion; supporters do not direct, designate, or earmark the use of any funds, and no representation is made as to the amount attributable to any individual membership.
14. Community Sponsors
A Community Sponsorship is available to one business per town, at a single fixed annual price billed by invoice. It is not sold by bidding, and no other business may purchase the sponsor placement in that town while the sponsorship is active.
What a sponsorship includes. For the term of the sponsorship, the Community Sponsor receives: (a) the Community Sponsor placement on its town’s page, conspicuously labeled as sponsored; (b) display of the sponsor’s logo, a photograph, and a link to the sponsor’s website within that placement; (c) a feature on Oklahoma Approved social media; (d) one written blog post about the sponsor’s business, published on oklahomaapproved.com; (e) the door sticker and a digital badge; and (f) a login to update the sponsor’s own profile.
Social feature. Oklahoma Approved will publish the social media feature described above at a time of its choosing during the sponsorship term. Nothing in this section obligates Oklahoma Approved to publish any particular post on any particular date or platform.
Sponsor content. The sponsor is responsible for the accuracy of the logo, photograph, text, and link it provides, and grants Oklahoma Approved the same license to that content described in Section 6.
Separate agreement. Where a Community Sponsor signs a separate written sponsorship agreement with Oklahoma Approved, that agreement controls if it conflicts with this Section.
